1. General information
This website (“Site”) is owned and operated by Arize Marine Tech LLP, a LLP company registered under the laws of India, having its registered office at Bhavnagar, Gujarat, India (“Company”, “we”, “us”, “our”). By accessing, browsing or using this Site and/or placing an order for any products, the user (“you”, “your”, “Buyer”) agrees to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, you must not access or use the Site or place any order through it.
2. Nature of business and role
The Company deals in new, used, surplus and reconditioned marine machinery, equipment, parts and accessories sourced from various third‑party suppliers, ship-breakers, stockists and traders. Unless expressly mentioned on the product page, the Company is not the manufacturer, OEM, authorized or official distributor for the products listed on the Site and does not hold itself out as such. Any reference to manufacturers’, OEMs’ or brands’ names, part numbers or trademarks is solely for identification and description of compatibility, and all such rights remain with their respective owners.
3. Product information and condition
Technical specifications, photographs, drawings, catalogues, datasheets, dimensions, weights, performance data, year of make, running hours and other information are provided on an “as available” basis and are approximate, indicative or supplier‑provided; they do not constitute a guarantee or representation of exact conformity unless clearly stated in writing as a “Guaranteed Specification”.
- Products may be unused stock, surplus, reconditioned, overhauled, repaired, or second‑hand/used; and of mixed origin, including dismantled ship machinery, unless specifically described otherwise on the product page or in the quotation.
- The Buyer is solely responsible for verifying suitability, compatibility and fitness for intended use, classification, survey or flag‑state requirements, and for obtaining necessary approvals, certificates or inspections.
4. Pricing, taxes and quotations
- All prices shown on the Site or in quotations are in USD (unless stated otherwise) and exclude applicable taxes, duties, levies, shipping, insurance, handling and statutory charges, which are borne by the Buyer.
- Prices are subject to change at any time until the Company issues a written order confirmation or proforma invoice.
- Typographical errors or obvious pricing mistakes may be corrected; the Company may cancel or revise an affected order with a refund of any amount received for the cancelled portion.
5. Orders, acceptance and cancellation
- Listings, catalogues, emails or online entries are invitations to offer only; your order is an offer to purchase.
- An order is accepted only upon written order confirmation/proforma invoice and receipt of agreed advance/payment within time.
- The Company may reject/cancel orders (in full or part) at its discretion (e.g., unavailability, export restrictions, sanctions, compliance); liability is limited to refund of amounts actually received for the cancelled portion (without interest).
- Buyer cancellations need prior written consent and may incur cancellation/storage charges and recovery of costs.
6. Payment terms
Payment terms (advance, balance, against delivery, LC, etc.) are as specified in the quotation/proforma invoice and prevail over inconsistent Buyer terms. Payments must be in cleared funds to the specified bank account; bank/remittance/LC charges are borne by the Buyer.
7. Delivery, risk and title
- Delivery terms (EXW, FOB, CFR, CIF, etc.) are per quotation/invoice and per applicable Incoterms.
- Risk passes per the agreed Incoterm (e.g., on handover to carrier for EXW/FOB, or loading to Buyer vehicle at Company yard).
- Title passes only upon full payment (including taxes/charges), without prejudice to risk transfer.
- Delivery dates are indicative; Company is not liable for loss/demurrage/detention or consequential loss from delays beyond its control.
8. Inspection, testing and acceptance
- Pre-purchase inspection/testing may be permitted at Company yard/workshop/supplier site (Buyer cost/risk) where feasible.
- If Buyer chooses not to inspect/test prior to dispatch, products are deemed accepted “as is where is,” subject only to any specific written warranty given by Company.
- Third-party certificates/reports are passed on “as received”; no independent warranty on accuracy/completeness.
9. Warranties and “as is” sale
Unless explicitly stated as a “Company Warranty” with defined scope/period, all products are sold “as is, where is,” without express or implied warranties (merchantability, fitness for purpose, non-infringement). Descriptions/samples/inspection reports are indicative only unless expressly warranted in writing.
10. Returns, claims and limitation periods
- Returns are generally not accepted unless expressly agreed in writing prior to purchase or mandated by law.
- External damage/shortage visible on delivery must be noted on carrier receipt and notified within 48 hours; otherwise deemed delivered complete/in good condition.
- Other non-conformity claims must be notified within seven days of delivery or commissioning (earlier) with evidence; otherwise deemed unconditionally accepted.
11. Limitation of liability
To the maximum extent permitted by law, total aggregate liability (contract/tort/negligence/etc.) is limited to the invoice value of the specific product giving rise to the claim. The Company is not liable for loss of profit/use/production/contract/reputation, consequential/incidental/indirect/special damages, or third-party claims. Nothing excludes liability for death/personal injury by gross negligence or other non-excludable liabilities under Indian law.
12. Buyer’s responsibilities and indemnity
- Buyer must ensure products are installed/commissioned/operated/maintained by qualified personnel per laws, class regulations, OEM instructions, and good marine practice; ensure compliance with export-import laws, sanctions, end-use/end-user restrictions.
- Buyer indemnifies the Company/partners/directors/employees/agents against claims/losses/damages/penalties/liabilities/costs arising from improper use/installation, breach of Terms/law, or infringement from use/resale.
13. Intellectual property and website use
All Site content is owned/licensed by the Company and protected by IP laws; unauthorized copying/scraping/resale/commercial use is prohibited. Buyer agrees not to reproduce/duplicate/copy/sell/resell/exploit any portion or access without express written permission. Third‑party marks remain their owners’ property and are used for identification only.
14. Compliance, anti‑fraud and export controls
Buyer shall not use products/Site for unlawful purposes, including violations of Indian export control laws, international sanctions, or maritime security regulations. The Company may decline/cancel orders if fraud, money laundering, sanctioned parties, or trade-control violations are suspected, limiting liability to refund of legitimate amounts received (if legally permissible).
15. Privacy and data protection
The Company may collect/process personal and business data (name, contact, KYC, shipping, payment references) for processing orders, providing services, complying with obligations, and improving the Site. By using the Site, you consent to this collection/use per these Terms and the Privacy Policy.
16. Electronic communications and records
You consent to receive electronic communications (email, SMS, WhatsApp, site notifications) for orders, invoices, documentation, marketing (where permitted). Electronic records/logs/acceptances maintained by the Company are admissible as evidence per the IT Act, 2000.
17. Governing law and jurisdiction
These Terms and related disputes are governed by Indian law. Subject to mandatory consumer forums (if applicable), courts at Bhavnagar, Gujarat, India have exclusive jurisdiction.
18. Amendments and severability
The Company may modify/update these Terms at any time by posting the revised version on the Site; continued use or orders after posting constitute acceptance. If any provision is held invalid/unenforceable, remaining provisions remain in effect.
